Navi AI Software Terms of Use and End User License Agreement
This Navi AI Software Terms of Use and End User License Agreement ("EULA" or the "Agreement") is a binding contract between you (an individual user or single legal entity) and Navi AI, Inc. LLC ("Navi AI," "we," or "us") governing your use of the Navi AI website found at Navi AI.com (the "Website"), any application programming interfaces made available by us ("APIs"), any mobile application referencing this EULA (each, an "App"), along with any related services provided by us (Website, APIs, and Apps are, collectively, the "Service"). BY INSTALLING ANY OF THE APPS, APIS OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA.
1. Summary of Material Terms
- a. The Service is licensed, not sold to you, and you may use it only as set forth in this EULA.
- b. Your use of the Service may be subject to separate third-party terms and fees, including your mobile network operator's terms and fees.
- c. You consent to the collection, use, and disclosure of your information as described in our Privacy Policy.
- d. The Service is provided "as is" without warranties, and Navi AI's liability to you is limited.
- e. If you're using the App on an iOS-based device, you agree to and acknowledge the "Notice Regarding Apple" in Section 33.
2. Service Overview
The Service includes various pilot training-related services. It may include web- or mobile-app based training modules, flight simulation tools, performance tracking, training record management, and other functionality designed to assist in pilot education and skill development.
3. Eligibility
You must be at least 18 years of age to use the Service. By agreeing to this EULA, you represent and warrant that you meet this requirement and have not previously been suspended or removed from the Service. Navi AI reserves the right to terminate or deny access to the Service to any individual or entity at its sole discretion.
4. Permitted Uses and Restrictions
- a. License Grant: Subject to your compliance with this EULA, Navi AI grants you a limited, revocable, non-transferable, non-exclusive, and non-sublicensable license to install and use the App on compatible devices that you own or control, and to access and use the Service.
- b. Restrictions: You may not modify, reverse engineer, decompile, or create derivative works of the Service. You may not rent, lease, lend, sell, or sublicense the Service. You may not share your account credentials with others.
5. Subscription Terms and Payment
Access to certain features of the Service may require a paid subscription. All fees are non-refundable unless otherwise specified. Navi AI may change the fees upon notice to you. You agree to provide accurate and current payment information.
6. User Accounts
To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account and for all activities that occur under it. Notify us immediately of any unauthorized use of your account.
7. User Content
You retain ownership of any content you submit to the Service. By submitting content, you grant Navi AI a worldwide, non-exclusive license to use, reproduce, and distribute your content in connection with the Service.
8. Prohibited Conduct
- a. Use the Service for any illegal purpose or in violation of any laws.
- b. Interfere with or disrupt the Service or servers connected to the Service.
- c. Attempt to gain unauthorized access to any part of the Service.
- d. Use the Service to transmit any viruses or other harmful code.

The Service may integrate with or provide access to third-party services. Your use of such services is subject to their respective terms, and Navi AI is not responsible for any third-party services.

Navi AI retains all rights, title, and interest in the Service and its content. The Navi AI name, logo, and all related names and logos are trademarks of Navi AI.

12. Disclaimers and Limitations of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES. Navi AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Navi AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
13. Indemnification
You agree to indemnify and hold harmless Navi AI and its officers, directors, employees, and agents from any claims arising out of your use of the Service or violation of this EULA.
14. Termination
Navi AI may terminate or suspend your access to the Service at any time, without notice, for any reason. Upon termination, you must cease all use of the Service and delete all copies of the App.
15. Export Control
You may not use or export the Service in violation of U.S. export laws and regulations.
16. Governing Law
This EULA is governed by the laws of CA, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco, CA.
17. Changes to this EULA
Navi AI reserves the right to modify this EULA at any time. We will notify you of any material changes by posting the new EULA on our website or through the App.
18. Entire Agreement
This EULA constitutes the entire agreement between you and Navi AI regarding the Service and supersedes all prior agreements and understandings.

- b. Currency of Information: While we strive to keep all training materials up-to-date, it is the user's responsibility to verify the currency and accuracy of any information used for actual flight operations.
- c. Simulation Limitations: Any flight simulation features in the Service are for training purposes only and may not accurately represent all aspects of actual aircraft operation.
21. Data Accuracy and Updates
Navi AI uses available third-party data to create training materials, but does not guarantee that the original sources have provided data that is accurate, complete, or timely. Users should always refer to official sources for the most current and accurate aviation information.
22. No Warranty for Training Outcomes
Navi AI makes no warranty that use of the Service will result in any specific training outcome, test passage, or skill acquisition. The effectiveness of the training depends on various factors, including the user's effort and aptitude.
23. Compliance with Aviation Regulations
Users are responsible for ensuring that their use of the Service complies with all applicable aviation regulations in their jurisdiction. The Service does not guarantee compliance with specific regulatory requirements.
24. Feedback and Suggestions
If you provide any ideas, suggestions, or feedback to Navi AI regarding the Service, you grant Navi AI a non-exclusive, royalty-free, perpetual license to use and incorporate them into the Service without any obligation to compensate you.
25. Academic Integrity
Users agree not to use the Service to cheat on tests, exams, or other assessments related to pilot training. Any such use may result in immediate termination of your account and may be reported to relevant authorities or institutions.
26. Safety Disclaimer
THE SERVICE IS NOT INTENDED FOR USE IN ACTUAL FLIGHT OPERATIONS. Navi AI IS NOT RESPONSIBLE FOR ANY INCIDENTS, ACCIDENTS, OR LOSSES RESULTING FROM RELIANCE ON THE SERVICE DURING ACTUAL FLIGHT.
27. Recordkeeping
While the Service may offer features for tracking training progress, it is the user's responsibility to maintain any records required by aviation authorities or training institutions.
28. Use in Cockpit
The Service is not designed or intended for use in the cockpit of an aircraft during flight operations. Users should follow all applicable regulations regarding the use of electronic devices in aircraft.
29. Third-Party Training Content
Some training content in the Service may be provided by third parties. Navi AI does not endorse or take responsibility for the accuracy or quality of such third-party content.
30. Proficiency and Currency
Use of the Service does not guarantee pilot proficiency or currency. Users are responsible for meeting all applicable requirements for maintaining their pilot qualifications.
31. Emergency Procedures
Any emergency procedures or checklists provided in the Service are for training purposes only. In an actual emergency, pilots should follow the procedures specified in their aircraft's operating handbook and their training.
32. Medical Disclaimer
The Service does not provide medical advice and is not a substitute for the advice of an aviation medical examiner. Users should consult with appropriate medical professionals regarding their fitness to fly.
33. Notice Regarding Apple
- a. This EULA is between you and Navi AI only, not with Apple.
- b. Navi AI, not Apple, is responsible for the Service and its content.
- c. Apple has no obligation to provide any maintenance or support services for the Service.
34. Severability
If any provision of this EULA is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this EULA will otherwise remain in full force and effect.
35. Waiver
No waiver of any term of this EULA shall be deemed a further or continuing waiver of such term or any other term, and Navi AI's failure to assert any right or provision under this EULA shall not constitute a waiver of such right or provision.
